Terms of Service

These Terms of Service ("Terms") govern your access to and use of Docket Den, a software product operated by Docket Den LLC ("Docket Den," "we," "our," or "us").
By using Docket Den, you agree to these Terms.
If you are using Docket Den on behalf of an organization, you represent that you have authority to use the service for that organization.
What Docket Den Provides
Docket Den provides software tools to help organizations manage board work, meetings, board packets, documents, minutes, approvals, events, sponsorships, rentals, committees, cloud folder links, and related records.
Docket Den may include features such as:
- Board packets
- Meeting records
- Documents and minutes
- Events and sponsorships
- Venue and equipment rentals
- Committee and working group records
- User roles and permissions
- Cloud folder links
- SmartDen search and summary tools
Accounts and Access
Users may need an account to access Docket Den.
You are responsible for keeping your login credentials secure.
You agree not to share your login with unauthorized users.
Organizations are responsible for managing who has access to their workspace and what permissions users receive.
Organization Content
Organizations and users may upload, enter, or link content inside Docket Den.
This may include documents, minutes, board packets, event records, sponsorship notes, rental records, committee reports, links, messages, and other materials.
You are responsible for ensuring that you have the right to upload, enter, or share that content.
You retain ownership of your organization's content. You grant Docket Den permission to host, process, display, and use that content as needed to provide the service.
Cloud Folder Links
Docket Den may allow users to save links to folders or files stored in Google Drive, Dropbox, OneDrive, or other services.
Docket Den does not control access permissions inside those external services.
If a user cannot access a linked folder, the organization should review permissions in the external service.
SmartDen
SmartDen may help users search, summarize, or find information from organization records.
SmartDen is provided as a helpful tool, not a replacement for human review.
You should verify important information before making official decisions, taking board action, sending public communications, relying on financial information, or using summaries for legal, tax, compliance, or governance purposes.
Acceptable Use
You agree not to use Docket Den to:
- Break the law
- Upload content you do not have permission to use
- Violate another person's rights
- Attempt to access another organization's data
- Interfere with the security or operation of the service
- Upload malware, harmful code, or abusive content
- Use Docket Den to send spam or unauthorized communications
- Reverse engineer or copy the product in violation of these Terms
Payments and Plans
Docket Den may offer paid plans, pilots, setup services, subscriptions, or custom arrangements.
Pricing, billing terms, pilot terms, and included features may vary by plan or agreement.
If you purchase a paid plan or pilot, you agree to pay the applicable fees.
Unless otherwise stated in a separate written agreement, fees are non-refundable once setup or service has begun.
Plan Features
Docket Den features may vary by plan.
Examples may include:
- Board Den
- Community Den
- Operations Den
- Guided pilots or custom plans
We may update plan features over time.
If a feature is not included in your plan, it may appear as locked, unavailable, or hidden.
Trials and Pilots
Docket Den may offer guided pilots.
A guided pilot is intended to test a real workflow, such as a board packet, event, sponsorship process, rental process, committee update process, or document organization process.
Pilot terms may be described in a separate pilot agreement or written proposal.
Availability and Changes
We work to keep Docket Den available and useful, but we do not guarantee uninterrupted service.
We may update, modify, add, or remove features over time.
We may suspend access if needed for security, misuse, nonpayment, or legal reasons.
Confidentiality
If either party receives non-public information from the other party, that information should be treated with reasonable care and not disclosed except as needed to use or provide Docket Den, comply with law, or with permission.
Privacy
Our Privacy Policy explains how we collect, use, and protect information.
By using Docket Den, you also agree to the Privacy Policy.
No Professional Advice
Docket Den is not a law firm, accounting firm, government agency, or compliance advisor.
Docket Den does not provide legal, tax, accounting, financial, or governance advice.
Users should consult qualified professionals for legal, tax, accounting, compliance, or governance questions.
Disclaimers
Docket Den is provided on an "as is" and "as available" basis.
We do not guarantee that the service will be error-free, uninterrupted, perfectly secure, or meet every organization's specific needs.
Limitation of Liability
To the fullest extent allowed by law, Docket Den LLC will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.
To the fullest extent allowed by law, Docket Den LLC's total liability for claims related to the service will not exceed the amount paid by the customer to Docket Den during the three months before the event giving rise to the claim.
Termination
You may stop using Docket Den at any time.
We may suspend or terminate access if a user violates these Terms, fails to pay, creates security risk, or misuses the service.
Upon termination, access to the service may be limited or removed.
Organizations may request export or deletion of certain data, subject to legal, technical, backup, and contractual limitations.
Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law rules.
Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may provide notice by updating the effective date, posting a notice, or contacting users where appropriate.
